Terms of Service for Synapstash

Introduction

Welcome to Synapstash! These Terms of Service ("Terms") govern your use of the Synapstash personal knowledge management application, website, and related services (collectively, the "Service") operated by Synapstash ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

1.1 Agreement to Terms

By creating an account, accessing, or using Synapstash, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1.2 Eligibility

You must be at least 13 years old (or 16 in the EU) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

1.3 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

2. Description of Service

2.1 Service Overview

Synapstash is a personal knowledge management platform that allows you to:

  • Save, organize, and manage digital content (articles, documents, videos, etc.)
  • Generate AI-powered summaries and insights
  • Search and discover connections across your content
  • Export and share your organized knowledge
  • Access your content across multiple devices and platforms

2.2 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or other operational needs.

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You may register using:

  • Email address and password
  • Google OAuth authentication
  • Other supported authentication methods

3.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Promptly notifying us of any unauthorized use of your account
  • Providing accurate and current information during registration and updates

3.3 Account Security

You agree to:

  • Choose a strong password and keep it secure
  • Enable two-factor authentication when available
  • Log out of your account when using shared or public devices
  • Immediately report any security breaches or unauthorized access

3.4 Account Termination

You may terminate your account at any time through your account settings. We may terminate your account for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service to:

  • Save and organize legitimate content for personal knowledge management
  • Generate summaries and insights from your content
  • Search and discover connections within your content library
  • Export your data in supported formats
  • Share content in accordance with these Terms

4.2 Prohibited Uses

You agree NOT to use the Service to:

Illegal Activities:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in any form of illegal activity or promote illegal actions
  • Infringe on intellectual property rights of others

Harmful Content:

  • Upload, store, or share content that is defamatory, threatening, or harassing
  • Distribute malware, viruses, or other malicious code
  • Share content that promotes violence, hatred, or discrimination
  • Post content that is sexually explicit, obscene, or inappropriate

Security and Integrity:

  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated scripts, bots, or crawlers without permission

Commercial Misuse:

  • Use the Service for spam, pyramid schemes, or chain letters
  • Sell, lease, or sublicense access to the Service
  • Use the Service to compete with or replicate our business

4.3 Content Monitoring

While we do not proactively monitor all content, we reserve the right to:

  • Review content for compliance with these Terms
  • Remove content that violates these Terms or applicable laws
  • Suspend or terminate accounts that repeatedly violate these Terms

5. User Content and Data

5.1 Your Content Ownership

You retain all rights to content you upload, create, or store using the Service ("User Content"). You represent that you own or have necessary rights to all User Content you provide.

5.2 License to Synapstash

By using the Service, you grant us a limited, non-exclusive, royalty-free license to:

  • Store, process, and display your User Content as necessary to provide the Service
  • Generate summaries, insights, and search results from your content
  • Create backups and ensure data redundancy
  • Process content through AI services for analysis and enhancement

5.3 Content Responsibility

You are solely responsible for:

  • The accuracy, legality, and appropriateness of your User Content
  • Ensuring you have rights to all content you upload
  • Complying with copyright and intellectual property laws
  • Any consequences arising from your User Content

5.4 Content Backup and Export

We provide tools to export your data, but you are responsible for maintaining your own backups. We are not liable for any data loss, corruption, or failure to maintain backups.

5.5 Content Retention

Upon account termination, we will delete your User Content within a reasonable time frame, except as required by law or legitimate business purposes.

6. AI Features and Third-Party Services

6.1 AI-Generated Content

The Service uses artificial intelligence to:

  • Generate summaries and insights from your content
  • Provide search and discovery features
  • Suggest tags and organizational structures
  • Create content recommendations

AI-generated content is provided "as is" and may not always be accurate, complete, or suitable for your purposes.

6.2 Third-Party AI Services

We may use third-party AI services (such as OpenAI) to process your content. By using AI features, you acknowledge that:

  • Your content may be processed by third-party AI services
  • AI providers may have their own terms and privacy policies
  • We cannot guarantee the accuracy or reliability of AI-generated content

6.3 AI Content Disclaimer

You acknowledge that:

  • AI-generated summaries and insights are computational outputs, not human analysis
  • You should verify important information independently
  • AI features may have limitations, biases, or errors
  • We are not responsible for decisions made based on AI-generated content

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its design, functionality, code, and content (excluding User Content), is owned by Synapstash and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

7.2 Trademarks

"Synapstash" and our logos are trademarks of Synapstash. You may not use our trademarks without our prior written consent.

7.3 Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe content on our Service infringes your copyright, please contact us at legal@synapstash.com with:

  • Description of the copyrighted work claimed to be infringed
  • Location of the allegedly infringing content on our Service
  • Your contact information and a statement of good faith belief
  • Statement of accuracy and authority to act on behalf of the copyright owner

7.4 Counter-Notification

If you believe your content was removed in error, you may submit a counter-notification with:

  • Identification of the content that was removed
  • Statement under penalty of perjury that the removal was a mistake
  • Your contact information and consent to jurisdiction
  • Physical or electronic signature

8. Privacy and Data Protection

8.1 Privacy Policy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Service, you also agree to our Privacy Policy.

8.2 Data Processing

We process your personal data in accordance with applicable privacy laws, including GDPR and CCPA. You have rights regarding your personal data as described in our Privacy Policy.

8.3 Data Security

We implement appropriate technical and organizational measures to protect your data, but cannot guarantee absolute security. You acknowledge the inherent security risks of internet communications.

9. Subscription and Payment Terms

9.1 Free and Paid Services

We may offer both free and paid subscription plans with different features and limitations. Paid features require a valid subscription.

9.2 Subscription Fees

  • Subscription fees are charged in advance for each billing period
  • Fees are non-refundable except as required by law
  • We may change subscription fees with advance notice
  • Price changes will not affect your current billing period

9.3 Payment Processing

  • Payments are processed by third-party payment processors
  • You must provide accurate payment information
  • You authorize us to charge your payment method for applicable fees
  • Failed payments may result in service suspension

9.4 Refunds

Refunds are generally not provided except as required by law or at our sole discretion. If you believe you are entitled to a refund, please contact support@synapstash.com.

9.5 Taxes

You are responsible for all applicable taxes, duties, or levies on your subscription fees, unless otherwise stated.

10. Disclaimers and Limitation of Liability

10.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee of Accuracy

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNAPSTASH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Synapstash, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property rights

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits or class-wide arbitration.

13. General Provisions

13.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Synapstash regarding the Service and supersede all prior agreements.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
